Assignment & Placement Terms 

These are additional terms for Paid Assignments (“Assignments”, or “PAs”) fulfilled by a BrightBee Worker (a “BW”) and/or Placements requested under a duly-executed Services Agreement between BrightBee and a Customer, (the “Parties”). These terms are meant to supplement and not replace or supersede the terms in the Services Agreement between the Parties.

 1) Hourly Rate Coverage Assignments 

a. Breaks for BrightBee Workers. Customer shall be responsible for coordinating any unpaid breaks while a BW is fulfilling a Paid Assignment directly with the BW. Customer acknowledges that BrightBee cannot cannot be responsible for ensuring that any unpaid break times occur. Customer further acknowledges that the posted start and end time of Paid Assignments should include any unpaid break times Customer intends to provide to the BW. Customer agrees to indemnify BrightBee and to hold BrightBee harmless for any claims that arise related to unpaid and/or legally-required breaks for BWs.

b. Multi-Day Assignments. Customer may request that the same BW fulfill multiple assignments over a set period of time. If BrightBee is able to match the same BW to those assignments, Customer agrees to pay the additional Multi-Day Fee delineated in the Services Agreement.

b. Specific Bee Assignments and Special Requests. Customer may request that a specific BrightBee worker be matched to an assignment, or that the BrightBee worker meet requirements other than those outlined in the Position Description for the role in question. If BrightBee is able to meet those requirements, Customer agrees to pay the additional Fee specified in the Services Agreement.

c. Extension of an Active Paid Assignment. While a Paid Assignment is being fulfilled by a BW, the Customer  may elect to extend the duration of the PA beyond the hours originally posted on the BrightBee Application by informing both BrightBee and the BW in question. If the BW agrees to the extension, the Customer agrees to pay for the additional hours requested as well as any additional fees triggered by the extension.

d. Offset for Late Start or Extended Break. In the event that a BW arrives for a PA more than thirty (30) minutes after the start time originally posted on the BrightBee Solution or that, by mutual agreement between the BW and the Customer, a BW takes unpaid breaks longer than those originally posted in the Assignment then the Customer shall be entitled to an automatic extension of the PA of an equivalent duration of time, up to the total hours of the PA as posted on the BrightBee Application.

e. Cancellations. A PA that has been matched to a BrightBee Worker and canceled by the Customer fewer than 24 hours prior to the start of the Paid Assignment will be invoiced based on the Fee Schedule set forth in Services Agreement. If a PA is canceled fewer than ninety (90) minutes after being matched to a BW, there shall be no charge to the Customer.

f. Changes in Duties of Paid Assignments. If the Customer requests a change in duties for a PA fewer than twenty-four (24) hours prior to the start of the PA and the BW declines to accept the change in duties, the parties agree that BrightBee will be paid at fifty percent (50%) of the normal rates laid out in Services Agreement.

g. Site Closure. In the event that a Customer Site is closed due to inclement weather or other extenuating circumstances, the parties agree that any PAs previously requested by the customer will be automatically canceled and that there will be no charge to the Customer regardless of when the cancellation took place.

h. Change in Assignment Location. The Customer may change the location of a PA using the BrightBee Application or by notifying BrightBee staff. If the change occurs more than twenty-four (24) hours before the start of the assignment, there will be no charge to the Customer for the change. If the change occurs fewer than twenty-four (24) hours from the start of the assignment and if the change in location is greater than two (2) miles from the original location, the Customer agrees to pay an additional one-time fee of fifty dollars ($50.00).

i. Professional Learning and Orientation. The Customer may request that BWs attend Professional Learning or Orientation sessions hosted by the Customer, or by an agent of the Customer. This is optional and, if elected by the Customer, BWs will be paid the same rates as a Paid Assignment. The Customer acknowledges that it shall be at the discretion of individual BWs as to whether they elect to participate in any Professional Learning or Orientation sessions provided by the Customer, and that BWs may be unable to accept certain types of PAs if they have not attended certain Professional Learning or Orientation sessions.

j. Verification of hours. The Parties agree that it shall be the responsibility of BrightBee to track the hours of BWs performing PAs and to confirm that the specifications of the PA have been duly met, subject to a verification of said hours provided by an on-site representative of the Customer. The Parties acknowledge that BrightBee cannot independently verify that a BW was on-site at a Customer Site without verification from the Customer.

2) Prepaid Long Term Assignments

In addition to the terms above, the Parties agree to the following additional terms for Prepaid Long Term Assignments (“PTLAs”).

a. Definition. A Prepaid Long Term Assignment (“PLTA”) is when the Customer requests a specific BW for a recurring PA consisting of at least 50 individual working days, and also the Customer agrees to provide payment for the assignment prior to the date of the first individual PA. These payments may be tranched if agreed to by the Parties.

b. No Multi-Day or Specific Request Fee. PTLAs are not subject to the Multi-Day Assignment Fees described in selection 1(b) above or the Specific Bee Assignments Fees described in section 1(c) above.

c. Special Request Fees. Depending on the nature of the request, Customer may be assessed Special Request fees for PLTAs as described in section 1(c) above. BrightBee will advise the Customer whether such fees will be assessed prior to accepting the PTLA request.

d. Cancellation. Customer may not cancel a PTLA as it can a regular PA as defined in section 1(f) above. Instead, Customer may only cancel a PTLA with 60 days’ notice. In the event that Customer wishes to end a PTLA before the previously agreed number of PAs has been completed, Customer will not be entitled to any refund for the PTLA.

e. Replacement of BW. Customer may request replacement of the BW assigned to a PTLA at no cost within the first 30 days of the PTLA. If the Customer requests additional replacements, Customer agrees to pay a fee of $500 per additional replacement requested.

f. Changes to PTLA Parameters. Customer may request changes to the work schedule or work location for a PTLA after placing the initial request, and agrees to pay a fee of $500 per change request per PTLA. Customer acknowledges that the BW may not accept the change in schedule and/or location, in which event BrightBee will provide a replacement BW.

3) Advance Requested Placements

The Parties agree to the following additional terms for Advance Requested Placements (“ARPs”).

a. Definition. An Advance Requested Placement (“ARP”) is when a Customer requests that BrightBee provide a pre-defined Placement or set of Placements that may or may not be filled by an existing BW.

b. Payment terms. Customer agrees to pay 25% of the Placement Fee(s) upon making the request for the ARP(s). Customer agrees to pay the remaining 75% of the Placement Fee(s) on the first day of work as an employee for the PW in question.

c. Cancellation. Customer may cancel an ARP request or requests at no cost for 5 days after making the request, and BrightBee will refund any fees paid. After 5 days, Customer will not be entitled to any refunds unless BrightBee is unable to fill the ARP within 60 days, at which point the Customer may cancel the request and BrightBee will refund any fees paid.

d. Replacement after Voluntary Departure. Customer may request replacement of the PW provided as an ARP at no cost if the PW in question voluntarily resigns or otherwise voluntarily ends their relationship with Customer within ninety days of their first day of work.

e. Replacement at the Customer’s Request. Customer may request replacement of the PW provided as an ARP at no cost within thirty days of the PW’s first working day. Customer may make two such requests for each PW requested as an ARP. If after the second replacement Customer is still unsatisfied, Customer may request a new ARP at a rate discounted by 50% from the contracted placement fee.

f. Payment for PAs as a BW. The Parties acknowledge and agree that a PW may take PAs as a BW prior to their first working day as a PW. In that event, Customer agrees to pay the standard PA rates and fees laid out in the Services Agreement and subject to the terms therein, and above.
